please read these terms of service ("terms") carefully before using myopenclaw.io, including our website and related services (collectively, the "services") operated by quantumrise srl, a company registered in romania ("company," "we," "us," or "our").
by accessing or using our services, you agree to be bound by these terms. if you disagree with any part of these terms, you may not access the services.
1. acceptance of terms
by creating an account or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these terms and our privacy policy. if you are using the services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.
2. description of services
myopenclaw provides a managed deployment platform that allows users to:
- deploy and manage openclaw ai agent gateway instances on dedicated cloud servers
- configure ai provider integrations (openai, anthropic, google, mistral, and others)
- access a web dashboard for monitoring and managing their instances
- receive automatic server provisioning, configuration, and maintenance
3. account registration
3.1 account creation
to access the services, you must create an account via google oauth. you agree to provide accurate and current information during registration.
3.2 account security
you are responsible for safeguarding your account credentials and for any activities or actions under your account. we are not liable for any loss or damage arising from unauthorized access to your account.
3.3 age requirements
you must be at least 16 years old to use our services. if you are under 18, you represent that you have your parent's or legal guardian's permission to use the services.
4. license and usage rights
4.1 license grant
subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the services for your personal or internal business purposes. this license does not include the right to:
- resell, sublicense, or redistribute the services
- reverse engineer, decompile, or disassemble any part of the services
- use the services for any illegal or unauthorized purpose
- use your provisioned server to conduct attacks, distribute malware, or engage in any harmful activity
4.2 acceptable use
your openclaw instance is provisioned on a dedicated server for your use. you agree not to use the provisioned infrastructure to violate any applicable laws, abuse network resources, or engage in activities that could harm our infrastructure or other users.
5. subscription and payments
5.1 subscription plans
we offer a monthly subscription plan at the price listed on our website. this includes a dedicated cloud server with openclaw pre-configured and managed. features and pricing are subject to change with reasonable notice.
5.2 billing
subscriptions are billed in advance on a recurring monthly basis. you authorize us to charge your payment method for all fees due. payments are processed securely through stripe.
5.3 automatic renewal
your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. you can cancel your subscription at any time through the stripe customer portal.
5.4 refunds
we offer refunds within 7 days of the start of your subscription if you are not satisfied with the services. after the 7-day period, payments are non-refundable. because each subscription includes a dedicated cloud server that incurs ongoing infrastructure costs from the moment of provisioning, we are unable to offer refunds beyond this window. to request a refund, contact us at support@myopenclaw.io.
5.5 price changes
we may change subscription prices from time to time. price changes will be communicated in advance and will apply to subsequent billing periods. your continued use of the services after a price change constitutes acceptance of the new pricing.
6. prohibited conduct
you agree not to use the services to:
- conduct denial-of-service attacks, port scanning, or other network abuse from provisioned servers
- distribute malware, viruses, or any other malicious code
- attempt to gain unauthorized access to our systems or other users' servers
- use the services for spamming, phishing, or fraudulent activities
- violate any applicable law or regulation
- circumvent, disable, or otherwise interfere with security-related features
- resell or redistribute access to your provisioned instance without our written consent
7. server provisioning and availability
we provision dedicated cloud servers on your behalf using third-party infrastructure providers. while we strive for high availability, we do not guarantee 100% uptime. server provisioning typically completes within minutes, but may take longer during periods of high demand or provider outages. we are not liable for downtime caused by third-party infrastructure providers.
8. intellectual property
the services, including all content, features, functionality, and trademarks, are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws. openclaw itself is open-source software with its own license terms. your use of openclaw on our managed infrastructure is subject to both these terms and the openclaw license.
9. privacy
your privacy is important to us. our privacy policy describes how we collect, use, and share your information. by using the services, you agree to our privacy policy.
10. disclaimer of warranties
the services are provided "as is" and "as available" without warranties of any kind, either express or implied.
we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. we do not warrant that the services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
11. limitation of liability
to the maximum extent permitted by law, in no event shall we, our affiliates, directors, employees, or agents be liable for:
- any indirect, incidental, special, consequential, or punitive damages
- loss of profits, data, use, goodwill, or other intangible losses
- damages resulting from unauthorized access to or use of your provisioned server
- any interruption or cessation of the services
- any issues arising from the openclaw software itself
in no event shall our total liability exceed the amount you paid us in the twelve (12) months preceding the claim.
12. indemnification
to the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless quantumrise srl, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the services; (b) your violation of these terms; (c) your use of the provisioned server infrastructure; or (d) your violation of any rights of a third party.
13. termination
13.1 termination by you
you may cancel your subscription at any time through the stripe customer portal. upon cancellation, your server will remain active until the end of your current billing period, after which it will be deprovisioned and all data on it will be permanently deleted.
13.2 termination by us
we may suspend or terminate your account and access to the services at our sole discretion, without prior notice, for conduct that we determine violates these terms, is harmful to other users or our infrastructure, or for any other reason.
13.3 effect of termination
upon termination, your license to use the services terminates immediately. your provisioned server will be destroyed and all data on it will be permanently deleted. sections 8, 10, 11, 12, and 15 shall survive termination.
14. modifications to terms
we reserve the right to modify these terms at any time. we will notify you of material changes by posting the updated terms on our website and updating the "last updated" date. your continued use of the services after any modifications constitutes acceptance of the revised terms.
15. governing law and dispute resolution
15.1 governing law
these terms shall be governed by and construed in accordance with the laws of romania and applicable european union law, without regard to conflict of law provisions.
15.2 dispute resolution
any dispute arising from or relating to these terms or the services shall first be attempted to be resolved through good-faith negotiation. if the dispute cannot be resolved through negotiation within 30 days, either party may bring a claim before the competent courts of bucharest, romania.
15.3 consumer rights
if you are a consumer residing in the european union, you may also be entitled to use the european commission's online dispute resolution (odr) platform, available at ec.europa.eu/consumers/odr. nothing in these terms affects your statutory rights as a consumer under applicable eu consumer protection laws.
